Draft Outsourcing Agreements


As an owner or manager of a business, you may have a need for outsourcing services. An ever increasing number of business enterprises around the world are taking advantage of outsourcing. The key to successful outsourcing ventures are appropriately drafted outsourcing agreements. When it comes to drafting outsourcing agreements, there are certain provisions that must be included. Although contract law varies a bit from state to state, the general directives governing outsourcing agreements are substantially the same across the United States.


Instructions


1. Name the parties to the outsourcing agreement at the start of the contract. Include the address of each party where communications regarding the outsourcing agreement are sent.


2. Identify specifically the task or tasks to be assumed by the outsourcing provider. If the project requires exact specifications, attach them as an attachment to the outsourcing agreement.


3. Include in the outsourcing agreement the specific time frame that it is in force.


4. Establish the manner in which the outsourcing agreement is terminated. For example, include language that the agreement is terminated if a party provides 30 days advance notice.


5. Set forth a clause in the outsourcing agreement about which state's laws govern the agreement. Ideally you want to use the law of your own state. Additionally note that the courts of that state are the proper jurisdiction to resolve any dispute arising out of contract.
